These Terms of Service ("Terms") govern your access to and use of The Wheel platform ("Service"), operated by The Wheel ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Wheel is a financial data reconciliation platform that connects to your accounting software (including QuickBooks Online) and bank accounts (via Teller) to sync, normalize, and reconcile financial records. The Service provides a canonical data hub, a reconciliation engine, and associated reporting tools.
The Service is provided for business use. It is not a financial advisory service, accounting service, or substitute for professional financial advice. Reconciliation outputs are informational and should be reviewed by qualified personnel before being relied upon for business decisions.
You must be at least 18 years old and authorized to enter into binding agreements on behalf of your organization to use the Service. By creating an account, you represent that you meet these requirements.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@tempwheel.com if you suspect unauthorized access.
You may use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
The Service integrates with third-party platforms including Intuit QuickBooks Online and Teller. Your use of these integrations is also subject to the terms and privacy policies of those third parties. We are not responsible for the availability, accuracy, or conduct of third-party services.
By connecting a third-party account to the Service, you authorize us to access and process data from that account as necessary to provide the Service. You represent that you have the authority to grant this authorization.
You retain ownership of all financial data you bring to the Service. We process your data solely to provide the Service to you and do not claim any intellectual property rights over your data.
You are responsible for ensuring that your use of the Service — including the data you import — complies with applicable laws and any obligations you have to third parties.
The Service, including its software, reconciliation engine, data models, user interface, and documentation, is the proprietary property of The Wheel and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to the Service's underlying technology beyond the limited right to use the Service as described herein.
Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Service, and to use such information only to fulfill obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECONCILIATION OUTPUTS WILL BE COMPLETE OR ACCURATE.
Reconciliation is a data-processing service. Outputs should be reviewed by qualified accounting personnel and are not a substitute for professional financial review.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE WHEEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNTS YOU HAVE PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless The Wheel and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for other legitimate operational reasons, with reasonable notice where practicable. You may terminate your use of the Service at any time by contacting us. Upon termination, your data will be handled in accordance with our Privacy Policy.
We may update these Terms periodically. We will post the revised Terms at this URL with an updated effective date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. For material changes, we will provide additional notice where feasible.
These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction, as agreed by the parties.
